1. Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of the Maison Vin website, applications, member community, profiles, posts, comments, messages, restaurant and event-discovery features, and related services (collectively, the “Service”). By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to the Maison Vin Privacy Policy.

If you do not agree to these Terms or the Privacy Policy, you may not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. Eligibility and 21+ Requirement

The Service is intended only for persons who are 21 years of age or older. You may not create or use an account, access member features, join an event, post content, or send messages if you are under 21. You represent that all eligibility and date-of-birth information you provide is accurate.

Our 21+ requirement is a condition of Service use. It is not a guarantee that another person is of legal drinking age, that alcohol may lawfully be consumed at an event, or that a member has been identity-verified. You remain responsible for complying with laws that apply to you and to any event you host or attend.

We may restrict or terminate an account if we reasonably believe a person is under 21, used inaccurate eligibility information, or violated these Terms. Maison Vin is not directed to children. If we learn that we collected personal information from a child under 13 without a valid legal basis, we will take steps consistent with applicable law and our Privacy Policy.

3. Global Community and Current Coverage

Maison Vin welcomes wine lovers and organizers from anywhere. Our current event discovery, organizer outreach, and local coverage are primarily focused on New York, New Jersey, and Connecticut. Availability of events, local information, organizer participation, and third-party services varies by location. We plan to expand over time, but do not guarantee the timing or availability of future regional coverage.

If you access the Service from another state or country, you do so on your own initiative and are responsible for complying with local laws that apply to you, including laws governing online conduct, events, alcohol, privacy, and content. Maison Vin may restrict, limit, or discontinue access from a location where we reasonably believe use may create legal, safety, or operational risk. Nothing in these Terms limits a right that cannot lawfully be waived.

4. Maison Vin’s Limited Role

Maison Vin provides online tools for adult members to discover wine-related content, connect with other members, communicate, view restaurant and event information, and independently create or discover social gatherings. Maison Vin is not an alcohol seller, supplier, manufacturer, importer, distributor, wholesaler, retailer, shipper, delivery service, alcohol broker, caterer, bartender, venue, event operator, ticket seller, ticket issuer, payment processor, transportation provider, security provider, or in-person event supervisor.

Unless Maison Vin expressly agrees otherwise in a writing signed by an authorized officer, Maison Vin does not host, organize, produce, manage, staff, inspect, sponsor, endorse, supervise, or control any member-created event. The member who creates an event is the independent “Host.” The Host—not Maison Vin—is responsible for the event listing, venue permission, attendees, event conduct, applicable permits and laws, and decisions regarding alcohol, food, transportation, and safety.

Information in a member profile, event listing, post, review, message, comment, restaurant listing, recommendation, or external link is provided by the relevant member or third party unless Maison Vin expressly identifies it as Maison Vin-authored content. To the maximum extent permitted by law, Maison Vin is not responsible for the conduct, content, communications, images, information, acts, or omissions of members, Hosts, attendees, restaurants, organizers, venues, or other third parties. Maison Vin does not guarantee that third-party or member content is accurate, complete, current, lawful, safe, available, suitable, licensed, insured, or free of infringement.

5. Alcohol, Tickets, Reservations, and Third-Party Information

You may not use the Service to sell, offer for sale, purchase, broker, procure, ship, deliver, store, transfer for consideration, or otherwise commercially transact in alcohol. You may not use the Service to collect, route, split, reimburse, hold, escrow, or process money for alcohol, alcohol-inclusive admission, drink packages, pooled alcohol purchases, donations that function as alcohol charges, or member-hosted event tickets.

A “BYOB” label means only that a member has described an event as bring-your-own-bottle. It does not mean that alcohol consumption is lawful at the location, that the Host or venue permits alcohol, that no license or permit is needed, or that Maison Vin has reviewed the arrangement.

Maison Vin may display restaurant recommendations, wine-related suggestions, third-party organizer events, or links to third-party websites and services for convenience. These are informational only and do not constitute a guarantee, endorsement, safety review, availability confirmation, or recommendation that a restaurant, venue, event, organizer, person, or third party is suitable. Restaurant and third-party event information—including names, dates, times, prices, descriptions, availability, menus, reservations, accessibility information, and locations—may be incomplete, inaccurate, or changed without notice. Verify current information directly with the restaurant, organizer, venue, or other source before relying on it.

Maison Vin is not the organizer, venue, ticket seller, reservation service, merchant, or payment processor for a third-party event or restaurant, and is not responsible for an event’s or restaurant’s conduct, cancellation, rescheduling, price, description, availability, products, services, safety, accessibility, or other information. Where Maison Vin provides an outbound reservation, booking, ticket, or restaurant link, your booking, payment, cancellation, no-show, refund, personal-data submission, and other dealing are solely between you and the relevant third party and are subject to that third party’s terms and policies. Maison Vin does not receive, process, confirm, modify, or cancel that transaction.

Maison Vin may reference factual restaurant or event information made publicly available by a third party only where doing so is permitted by applicable law and the relevant source’s terms. The public availability of information does not necessarily authorize reuse of that party’s photographs, logos, menu images, written descriptions, graphics, or other protected material, or automated collection from its services. If you believe a restaurant or third-party event listing is inaccurate or infringes your rights, contact us at hello@maisonvin.ai. We may review, correct, remove, or decline to change information in our reasonable discretion.

User-Provided Third-Party Links

Members may add direct links to third-party websites or profiles they choose to share. These links are provided as ordinary outbound references only; they do not create an integration, partnership, sponsorship, endorsement, or affiliation between Maison Vin and the third party. Maison Vin does not scrape, mirror, cache, embed, or reproduce content behind a third-party link. Do not submit account credentials, private-access URLs, or links you are not authorized to share. Third-party destinations and their content remain subject to their own terms, privacy practices, access controls, and availability.

6. Member-Created Events and Independent Decision-Making

Online and in-person interactions involve risks, including inaccurate information, unwanted contact, property damage, illness, allergic reactions, alcohol-related impairment, impaired driving, assault, theft, unsafe premises, and acts or omissions of third parties. You are solely responsible for deciding whether to interact with another person, attend an event, share a location, consume alcohol, use transportation, or disclose information. You must use independent judgment and take reasonable precautions.

Maison Vin does not conduct background checks, identity checks, criminal-history checks, venue inspections, alcohol-license checks, safety inspections, insurance checks, or other verification of every member, Host, attendee, event, location, representation, or external service. We may perform limited checks or moderation at our discretion, but doing so does not create a duty to conduct checks or a representation that a person or event is safe, lawful, approved, or verified.

Each event is created independently by its Host. If you create an event, you are responsible for having permission to use the location, keeping the event details accurate and up to date, and limiting participation to people aged 21 or older. You must promptly update or cancel a listing when a material detail changes or the event becomes unsafe, unlawful, or unavailable. Maison Vin does not organize, operate, supervise, or guarantee member-created events.

You must not furnish or assist in procuring alcohol for anyone under 21, provide alcohol to someone who is visibly intoxicated, encourage impaired driving, or use the Service to evade age, alcohol, safety, or venue rules. In an emergency or immediate danger, call 911 or the relevant local emergency service. Do not rely on Maison Vin or any in-app feature for emergency response.

7. Private Events and Shared-Link Access

A Private event is intended for the Host's group and may not appear in public search or an event directory. Anyone who receives a Private-event link may view the event. Viewing an

event does not create a right to participate: a person must submit a request, and the Host decides whether to approve it. Public event chat is closed for Private events; event participation and related member access follow the Service's approval flow.

Maison Vin cannot guarantee that a shared link, event information, or content will remain confidential. Link recipients may share the link or copy, screenshot, or disclose information they can view. Share Private-event links, event details, addresses, and personal information only with people you trust. Maison Vin may change the availability of location information or other event details to protect user safety, comply with law, or enforce these Terms.

8. Your Content and Our License to Operate the Service

“User Content” means content you submit, upload, publish, transmit, display, or otherwise make available through the Service, including profile information, photos, videos, posts, comments, messages, reviews, event listings, bottle details, links, and reports.

You retain ownership of your User Content, subject to the license below. You grant Maison Vin a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, format, resize, translate, display, perform, distribute, and otherwise use User Content as reasonably necessary to operate, secure, improve, and provide the Service, including through our service providers.

This license ends when your User Content is deleted from the Service, except to the extent that it has been shared with other users, retained in backup systems for a limited period, is needed to address a legal claim or safety investigation, or must be retained under applicable law. We will not use your name, profile, likeness, testimonial, photograph, event material, or other User Content in Maison Vin advertising, press, social media, or promotional materials unless you give separate, clear affirmative permission through a feature-specific consent or written agreement.

You represent and warrant that: (a) you own or have all necessary rights, permissions, and releases for your User Content; (b) your User Content is accurate and not misleading; (c) your User Content does not infringe or misappropriate copyright, trademark, publicity, privacy, or other rights; and (d) your User Content and Service use comply with these Terms and applicable law.

9. Profiles, Activity, Posts, Comments, and Messages

The Service may allow other members to view your profile, posts, comments, follows, reactions, collection information, event activity, and other activity according to your privacy and visibility settings. If your settings make profile or activity information visible to followers or other members, that information may be seen, copied, screenshot, or shared

by people who can access it. Making a profile private or changing visibility settings may limit future visibility, but cannot remove information that another person previously saw, copied, or shared.

Posts, comments, reviews, images, direct messages, and other member communications are created by their users, not by Maison Vin. Maison Vin does not routinely pre-screen or monitor all community content or private messages and cannot guarantee that content will be accurate, appropriate, lawful, non-offensive, or safe. You are responsible for the content you create, send, view, share, or rely on. Use independent judgment before interacting with a member or relying on information in the Service.

10. Prohibited Conduct

You may not, and may not encourage or help another person to:

We may investigate, remove or disable User Content, cancel listings, limit features, suspend or terminate accounts, preserve evidence, and cooperate with lawful requests when we reasonably determine that conduct violates these Terms, poses a safety risk, infringes rights, or may expose Maison Vin or others to harm. Our decision not to act in one instance does not waive our right to act later and does not mean that conduct is permitted.

11. Reporting, Blocking, and Moderation

Maison Vin does not routinely pre-screen or monitor all posts, comments, images, event listings, or private messages. We may—but are not required to—review reported or otherwise identified content and accounts; remove, hide, restrict, or preserve content; cancel listings; limit features; or suspend or terminate accounts when we reasonably determine that conduct violates these Terms, creates safety or legal risk, is fraudulent, abusive, spam, underage, infringing, hateful, racist, harassing, sexually inappropriate, threatening, deceptive, or otherwise objectionable.

You may report a user, event, message, post, comment, image, restaurant listing, or other content through the Service or by contacting hello@maisonvin.ai. Reports must be accurate and made in good faith. We review reports case by case and may decide that removal or action is not appropriate. Our decision not to act, or not to act immediately, does not mean we approve, endorse, or accept responsibility for the content or conduct.

We may share information about a report only as described in the Privacy Policy, to enforce these Terms, to protect safety, or as otherwise permitted or required by law. Blocking tools may limit visibility and communication between users, but they are not guaranteed to prevent all contact, screenshots, off-platform interaction, or content sharing. In an emergency or immediate danger, contact 911, local emergency services, or law enforcement; do not rely on Maison Vin for emergency response.

12. Intellectual Property and Copyright Complaints

Maison Vin, its name, logos, software, design, and Maison Vin-created content are protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, we reserve all rights.

We respect intellectual-property rights and may remove material that is alleged to infringe. Copyright notices should be sent to hello@maisonvin.ai with the subject line “Copyright Notice.” A notice should identify the protected work, identify the allegedly infringing material and its location in the Service, provide contact information, and include a good-faith statement that use is unauthorized. Privacy, publicity, impersonation, harassment, and safety complaints should be sent through the applicable in-product reporting tool or to hello@maisonvin.ai.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. You acknowledge that content and activity may be visible to other people according to your settings and the Service design. Please review the Privacy Policy carefully before using the Service.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” MAISON VIN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, AND SECURITY.

WITHOUT LIMITING THE FOREGOING, MAISON VIN DOES NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT; OR ANY MEMBER, HOST, ATTENDEE, EVENT, VENUE, BOTTLE, RETAILER, EXTERNAL LINK, OR THIRD PARTY IS SAFE, LAWFUL, AVAILABLE, AUTHORIZED, LICENSED, INSURED, OR SUITABLE.

Nothing in these Terms disclaims a warranty or limits a right that cannot lawfully be disclaimed or limited.

15. Assumption of Risk and Release

To the maximum extent permitted by applicable law, you voluntarily assume the risks arising from your use of the Service and from online and in-person interactions with members and third parties, including attending or hosting member-created events. You release Maison Vin and its affiliates, officers, directors, employees, contractors, and agents

from claims arising from those interactions, except to the extent that a claim results from Maison Vin's own conduct that cannot lawfully be released or limited.

Nothing in this section requires you to release a claim that cannot legally be released.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAISON VIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE, THESE TERMS, OR MEMBER OR THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAISON VIN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) ONE HUNDRED U.S. DOLLARS (US $100); OR (b) THE AMOUNT YOU PAID DIRECTLY TO MAISON VIN FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

17. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Maison Vin and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the Service; (c) an event you host, attend, or promote; (d) your violation of these Terms or applicable law; (e) your alcohol-related, payment-related, venue-related, safety-related, or ticketing-related conduct; or (f) your infringement or violation of another person's rights.

Maison Vin may control the defense of an indemnified claim, and you will reasonably cooperate. This provision does not require indemnification to the extent prohibited by applicable law.

18. Suspension, Termination, and Account Deletion

You may stop using the Service at any time and may request account deletion through available controls. Maison Vin may remove content, limit features, suspend, or terminate your account or access, with or without notice where appropriate, if we reasonably believe that you violated these Terms, created a risk to a person or the Service, misrepresented

your age or identity, engaged in serious or repeated misconduct, spam, harassment, infringement, fraud, or unlawful conduct, or exposed Maison Vin or others to legal or operational risk.

Termination does not affect provisions that by their nature should survive, including intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute provisions, and enforcement rights. Account-deletion and retention practices are described in the Privacy Policy.

19. Changes to the Service or Terms

We may change, suspend, or discontinue all or part of the Service. We may update these Terms when appropriate. If we make a material change, we will provide notice as required by applicable law, including by posting an updated effective date, displaying an in-product notice, or requesting renewed acceptance where required. Your continued use after the effective date of an update constitutes acceptance to the extent permitted by law.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, excluding conflict-of-laws principles. Except where applicable law requires otherwise, any dispute arising from or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to personal jurisdiction and venue in those courts.

Nothing in this section limits a consumer or regulator right that cannot legally be waived.

21. General Terms

These Terms, the Privacy Policy, accepted Host acknowledgements, and any feature-specific terms form the entire agreement between you and Maison Vin regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law. Maison Vin's failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Maison Vin may assign them as permitted by law in connection with a merger, acquisition, reorganization, or sale of assets. Electronic notices and records satisfy legal requirements for written communications to the extent permitted by law.
